ACCOUNT INFORMATION

 

SayHey Inc. SRL reserves its right to refuse any order. In addition, we reserve the right to limit or cancel the purchased quantities. If any cancelation or limitation occurs, we may notify you by contacting the e-mail or phone number provided by the user when the order was made.You must complete your correct and complete information for all products or services purchased from our Website. You must update your account with information that includes e-mail address, credit card number, and card details, as requested by the payment processor to complete the transaction as needed.

 

THE PAYMENT

 

All our prices are posted on the Website and may be updated at any time.

One payment is valid for one month.

Once you have exceeded your sending limit ( of your plan ) and get to the following payment plan; you will have to pay the higher one.Once you select your plan; you will provide valid card information and authorize us to deduct the monthly payments against the provided card.

If you want, you can change your card anytime, providing us with the correct and needed information about the new card.

Any person that uses the card warrants that is the authorized person to use that card. If the payment can t be processed, we will contact you at the provided e-mail address, and we will suspend your account until the payment is processed.

All our prices will be updated on the Website if changes will appear. We reserve the right to change the costs of any of our products or services. 

We are not responsible for the relationship between you and your users. We provide you the platform for your activities, but we are not involved and not

responsible for your relationships or transactions. We are not responsible for the relationship between you, our service users, and your payment service provider or their actions.

 

The usage of any of our provided payment features guarantees that you acknowledge, credit, and agree on the followings:

 

• You are solely and entirely responsible for all taxes and fees of any nature  associated with your payments activities, including any taxes related to the purchase or sale of the User Products, and to collect, report and remit the correct amounts to the appropriate authorities and/or inform your end-users of such and provide them as requested by the law;
  
  

• You shall be responsible for and bear all costs of procuring and delivering your User Products and for providing them safely and professionally,consistent with industry standards;
  
  

• You are the only responsible for any and all statements and promises you make and for all assistance, warranty, and support regarding the User Products, and you shall provide accurate contact information on your bot for any questions, complaints, or claims; and
  
  

• You may not offer or sell any User Products, or provide any information, content or material regarding User Products, which may be deemed hazardous, counterfeit, stolen, fraudulent, offensive, or abusive; which are prohibited for sale, distribution, or use; or which otherwise fail to comply with any applicable laws, including concerning consumer rights, intellectual property or privacy rights, product safety, trade regulations and sanctions, support, maintenance, and export; to the extent, you operate on Facebook Messenger and Stripe or PayPal, your User Products and your use of such service must also comply with Facebook (https://www.facebook.com/policies/commerce), Stripe  ( https://stripe.com/us/prohibited-businesses) regulations.
  
  

 

 

At any given time and our discretion, we can suspend, disable or remove any of your User Product ( if we have reasons: questionable content, illegal activity, reported content, suspicious activity, harmful content, and so on ). 

The user is responsible for the accuracy of the provided payment details for the products or services selected, and we do not take responsibility for

transactions completed that may later be charged back.

You are responsible for the services provided to your customers and for all issues with your products or services. You are responsible for the security of your data and you agree to respect the laws and rules regarding the collection, and protection of personal and financial data on your Website.

 

 COMPLIANCE WITH LAWS

 

You are responsible and warrant that your use of any of our products or services will respect the laws and regulations of the areas you use your User Product.

You are responsible for your use of the User Product. You are forbidden to use our service in illegal activities, discriminatory or prohibited, and you must

always follow the legal aspects. It is mandatory that you inform your customers regarding the data collection when using our product/service, as the law states.

You are the only one responsible for obtaining consent for messaging with your end-users. You warrant that you will not use our service to communicate with

customers that have asked you not to contact them.

 

You are fully responsible for the followings :

 

• Obtain permission to transfer data to SayHey Inc. and to be processed, and
  
  

 you'll otherwise comply with your posted privacy policy.

• Gather all information, store, use, and share that information about your end user, as the data protection laws state.
  
  

• Obtain the necessary permission that allows SayHey Inc. to receive and process data for you.
  
  

• Inform your end-users that SnoozeBUZZ is only the processor of customer data and that you are responsible for all data protection, GDPR, and privacy laws and implementation.
  
  

• Not to use the Service to gather, use, or process sensitive information. We will not have any liability, and we will not be held responsible for situations that may result from your use of the Service to collect or manage sensitive information.

• Accept and keep SayHey Inc. and all its representatives far from any claims, demands, and losses, including attorney's fees, arising out of your breach of any part of the representations and warranties in this Section. You understand and acknowledge that it is generally a violation of federal law, including the TCPA, to contact a consumer by phone, text, or e-mail without prior express written consent. SayHey Inc. is not responsible for ensuring that you do not transmit messages to consumers, including by telephone or e-mail, to violate the consent rules.

You understand and acknowledge that it is generally a violation of the federal law of Canada, including CASL, to contact a consumer by text message, phone, electronic messaging, or e-mail without prior express wrote consent. You will not get any individual through the Services or about the Services unless you have established consent to do so following the applicable law. You will provide proof of such consents or opt-ins, the messages you have sent, and your implementation of unsubscribe requests to us on our request. You will include all content required under the applicable laws in your notes, including your name, mailing address, e-mail, telephone, web address, and an ability to unsubscribe. You will not send any messages to any individual using the Services if they have opted out or withdrawn their consent, including if they have replied "STOP" or similar to one of your previous messages. You agree to indemnify, defend and hold harmless SayHey Inc., along with its owners, members, directors, officers, agents, employees, contractors, consultants, and vendors from and against any and all claims, suits, fines, costs, expenses, judgments, and fees, including reasonable attorney's fees, court costs, and

costs, arising out of a claim alleging any violation by you of the law, or

alleging facts that would constitute a breach of your warranties or obligations

contained in these Terms, including this C.I.T. You will promptly indemnify,

defend or settle any such third-party claim, demand, lawsuit, investigation,

or proceeding brought against SayHey Inc..

We will

• promptly notify you of such claim,
  
  

• provide you with helpful information, assistance, and cooperation in defending the lawsuit or proceeding, and
  
  

• give  you control and authority over the defense and settlement of such claim,subject to SayHey Inc. 's approval of any such payment, which consent will not

You are responsible that any contact information provided to SayHey Inc. is accurate and true. You must verify that you are the owner of the contact details you

provide to SayHey Inc. and its clients.

By voluntarily providing your telephone number, e-mail address to SayHey Inc. and its clients, you agree to be contacted at that number or at that e-mail address that you have provided us. You consent to be contacted by e-mail, telephone, SMS, or pre-recorded voice messages by SayHey Inc. and its clients in matters related to your account, promotions from SayHey Inc., or its clients. Some calls may be charged; SayHey Inc. is not responsible for any charges.
